ART. 14 — Limitations of liability of the Supplier

14.2 Exclusion of indirect damages. The liability of the Supplier and the subjects referred to in point 14.1 for indirect, consequential, special, incidental or punitive damages is expressly excluded, to the maximum limits permitted by law, including but not limited to:

a) loss of profit, loss of profits, revenues or commercial opportunities; b) loss of customers, goodwill or reputation; c) loss of data, files or information; d) replacement costs of goods or services; e) reputational or image damage.

14.3 Exclusion of liability for improper use and for third party actions. To the maximum extent permitted by law, the Supplier is in no way responsible for:

a) improper, negligent, illicit or non-compliant use of the Device, Software, App or Services by the Customer or by persons acting on his behalf; b) use for medical/diagnostic purposes in violation of Art. 4; c) conduct, performance, omissions or defaults of the Customer towards its End Customers; d) damages resulting from incorrect, misleading or incomplete information provided by the Customer to the Supplier or to its End Customers; e) failure to achieve aesthetic results desired by the End Customer of the B2B Customer, given the non-guaranteed and subjective nature of the aesthetic results; f) malicious, negligent, defamatory, offensive or illegal conduct of the Customer or third parties; g) errors, omissions, deficiencies or inaccuracies in the content and materials made available by the Provider, as well as for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted or otherwise made available through the Service; h) any damage, loss or injury resulting from hacking, tampering or other unauthorized access or use of the Service or Customer's account or information contained therein, as well as any bugs, viruses, Trojan horses or the like that may be transmitted to or through the Service by any third party.

14.4 Third Party Resources and Advertising. Through the Site, the platforms and connected social channels, the Customer may have access to resources provided by third parties or come across advertising notices provided by third parties. The Customer acknowledges and accepts that the Supplier has no control over such resources and advertisements, does not monitor or moderate them, and therefore, to the maximum extent permitted by law, is not responsible for their content and availability. By clicking on such advertisements or accessing such resources, the Customer interacts with the responsible third party: the applicable conditions are determined by the third parties themselves and regulated in the relevant terms of service or, in their absence, by law.

14.5 Technical malfunctions and disservices. The Customer acknowledges and accepts that:

a) access to and use of the Software/App may be temporarily suspended or limited due to updates, scheduled maintenance or unexpected technical interventions; b) any malfunctions, delays or difficulties resulting from operating system updates (iOS, Android, Windows, macOS) or temporary incompatibilities do not constitute a breach of contract by the Supplier; c) any technical problems, slowdowns or interruptions caused by third-party suppliers (hosting providers, ISPs, store managers, payment gateways) are not attributable to the Supplier; d) the Customer will not be able to request refunds, compensation or compensation for such temporary disservices, to the maximum limits permitted by law.

However, the Supplier undertakes to implement every reasonably possible measure to guarantee continuity of service and timely restoration of functionality.

14.7 Scope of application. This limitation of liability section applies to the fullest extent permitted by law in the applicable jurisdiction, regardless of whether the alleged liability arises in contract, tort, negligence, strict liability or any other basis, even if the Owner has been advised of the possibility of such damage.

14.8 Salvation of the clauses. The possible nullity or ineffectiveness of one or more clauses of this article does not entail the nullity of the entire article nor of the entire Contract, the further provisions of which remain fully valid and effective.

14.9 Unfair clause - Explicit signature pursuant to art. 1341 c.c.

ART. 15 — Processing of personal data

15.1 Privacy information. The processing of the personal data of the Professional Client (as natural person owner of the business, legal representative, contact person or operational contact) is governed by the Supplier's Privacy Policy, available on the Privacy Policy page and which is intended to be referred to in its entirety here.

15.2 Roles under the GDPR.

a) Supplier as Data Controller: the Supplier is the Data Controller of the personal data collected directly from the Professional Client for the purposes of stipulating and executing this Contract (personal data, billing data, contact data, account data).

b) B2B Customer as independent Data Controller: in relation to the personal data of Final Customers (including any biometric data, facial images, 3D analysis and similar) collected and processed by the Professional Customer as part of its activity, the B2B Customer acts as independent Data Controller pursuant to art. 4, no. 7 of Regulation (EU) 2016/679 (GDPR). The Professional Client is therefore directly responsible towards its Final Clients and the Italian Data Protection Authority for compliance with all GDPR obligations (information, legal basis, consent, security, management of requests from data subjects, any violation notifications, DPIA for biometric data).

c) Appointed external data processors: for the processing carried out via the App, the Third-party provider is appointed external data processor pursuant to art. 28 GDPR, in accordance with the Special License Conditions below and the Privacy Policy.

15.3 Biometric data. The Professional Client acknowledges that any 3D facial analyses, scans, high resolution images of the face or other outputs of the Software/Device may qualify as biometric data (special category pursuant to art. 9 GDPR) and undertakes to:

a) process such data exclusively with the explicit and specific consent of the End Customer (art. 9, par. 2, letter a GDPR), unless otherwise applicable legal basis; b) conduct, where necessary, a data protection impact assessment (DPIA) pursuant to art. 35 GDPR; c) adopt adequate technical and organizational security measures; d) allow the Final Customer to exercise the rights referred to in the Articles 15-22 GDPR.

15.4 Privacy indemnity. The Professional Client holds harmless and indemnifies the Supplier from any claims, sanctions, compensation or costs deriving from violations of the privacy legislation committed by the Client in its role as independent Data Controller towards the End Customers. Whenever personal data of third parties are shared with the Data Controller, broad indemnity is granted with respect to any dispute, claim and request for compensation for damage that may reach the Data Controller from people whose personal data have been shared in violation of the applicable rules on the protection of personal data.

15.5 Unfair clause - Explicit signature pursuant to art. 1341 c.c. (limited to the indemnity referred to in point 15.4)

ART. 16 — Early termination, suspension and cancellation of the account

16.1 Serious breaches. The following behaviors by the Customer constitute a serious breach of the Contract, legitimizing termination:

a) failure to pay any amount due to the Supplier beyond 30 days from the due date, or failure to pay even a single instalment; b) violation of the provisions of Article 4 (medical/diagnostic use prohibited); c) violation of the provisions of Art. 8 (prohibitions relating to the Software/App license); d) violation of the provisions of Art. 12.3 (prohibited conduct) and Art. 13 (intellectual property and confidentiality); e) assignment of the contract or sublicense to third parties without the written consent of the Supplier; f) false statements made by the Customer at the time of stipulation of the Contract or subsequently, regarding relevant circumstances, including the absence of the qualification of Professional; g) state of insolvency, bankruptcy, liquidation, composition with creditors or other insolvency proceedings against the Customer, within the limits permitted by current insolvency legislation.

16.2 Procedure. In cases of non-compliance, the non-defaulting Party may request compliance in writing within a period of no less than 15 days, after which the Contract will be considered terminated pursuant to art. 1454 c.c. , without prejudice to the express termination clause provided for Live Events in Art. 11.9. The communications referred to in this article are sent via PEC (faceharmonydv@legalmail.it) or registered letter with return receipt.

16.3 Account Suspension and Cancellation. The Supplier reserves the right to immediately suspend, temporarily or permanently, or, in the most serious cases, to cancel or request the cancellation of the Customer's account upon the occurrence of even just one of the circumstances referred to in Articles 12.3 and 16.1, as well as, at the Supplier's discretion, in any other case of violation of the specific rules relating to the provision of the Service, of these T&Cs, of the provisions relating to the management of the community and/or consultancy activities and/or intellectual and industrial property, and/or in the event of violations of any nature by the Customer which harm the Supplier's business. To the maximum extent permitted by law, the suspension or cancellation of the account and/or the Service for the reasons indicated above does not give the Customer any right to compensation, reimbursement or compensation, and does not exempt the Customer from paying any applicable fees or prices.

16.4 Effects of termination. Following the termination of the Contract, for any cause due:

a) the Customer must immediately cease using the Software, the App and the Services and uninstall the Software/App from their devices; b) the amounts already paid by the Customer to the Supplier remain definitively acquired by the latter, except as may be provided for by mandatory regulations; c) the amounts still due to the Supplier become immediately due; d) the Parties remain required to comply with confidentiality obligations (Art. 13.6) for the envisaged period; e) the rights to compensation for damages of the non-defaulting Party remain unaffected.

16.5 Withdrawal ad nutum. Unless otherwise agreed in writing, neither Party has the right to withdraw ad nutum from the Contract before its natural expiry. Any voluntary cancellation or interruption of the Service by the Customer does not give the right to any refund, not even partial, of the amounts paid as compensation.

16.6 Unfair clause - Explicit signature pursuant to art. 1341 c.c.

ART. 17 — Communications between the Parties

17.1 Forms of communications. Communications of a contractual nature between the Parties must take place in written form, according to one of the following methods:

The Service, the Beauty Classes, the consultations and the Digital Resources are provided and made accessible via videoconferencing platforms and LMS (Learning Management System) platforms indicated by the Supplier, who reserves the right to vary them for technical, organizational or commercial needs, communicating this to the Customer. For live interaction via video conferencing platforms, each Customer must be registered with their own individual account on the platform indicated from time to time.

18.2 Access. Access to the resources contained in the platform indicated by the Supplier is available only upon completion of the purchase phase of the Service, after the crediting of the agreed price in favor of the Supplier and according to the deadlines indicated by the Supplier in the case of payment in installments. The access credentials to the platform communicated to the email address are temporary: the Customer is asked to immediately change the password assigned to him on a temporary basis.

18.3 Third party platform conditions. As for the conditions of use of third-party platforms used for the provision of the Service and connected social channels (for example: Instagram, Facebook, YouTube, LinkedIn), please refer to the conditions and terms of each platform, referring to the principles contained in these T&Cs as compatible. The same provisions of use relating to the Site and the same protections apply to the Supplier's social channels, to the extent possible and to the extent compatible with the terms of use of the relevant platforms, especially regarding the use of personal data and protection of intellectual property.

ART. 19 — Discounts, promotions and vouchers

19.1 The Supplier may offer special discounts or promotions for the purchase of the Services. Such promotions or discounts are always subject to applicable requirements and terms and conditions. Promotions and offers are granted at the sole discretion of the Supplier. Repeated or periodic promotions or discounts do not constitute any claim or right enforceable by Users in the future. Depending on the case, discounts and promotions are valid for a certain period of time or until sold out. Unless otherwise specified, the time limitations of promotions and discounts are intended to refer to the time zone of the Supplier's headquarters. Promotions and discounts may be offered in the form of Vouchers or promotional codes. In case of violation of the conditions applicable to the Vouchers, the Supplier may legitimately refuse to fulfill its contractual obligations and expressly reserves the right to take action in the appropriate forums, including judicial ones, in order to protect its rights and interests. Any additional or divergent provisions applicable to the use of the Vouchers, reported on the relevant information page or on the Voucher itself, prevail in any case.

19.2 Unless otherwise specified, the following rules apply to the use of Vouchers:

a) each Voucher is valid only if used in the manner and within the period of time specified on the Site and/or on the Voucher; b) the Voucher can only be redeemed in full at the time of purchase - partial use is not permitted; c) unless otherwise specified, single-use vouchers can be redeemed only once per purchase, even in the case of purchases in installments; d) Vouchers cannot be combined; e) the Voucher must be used within the specified validity period; once the deadline has expired, the Voucher will be automatically cancelled, with the exclusion of any possibility of claiming rights, including the reimbursement of the value of the Voucher; f) the User is not entitled to any credit/refund/compensation if there is a difference between the value of the Voucher and the redeemed value; g) the Voucher is intended exclusively for non-commercial use; the reproduction, counterfeiting and commercialization of the Voucher are strictly prohibited, as is any illicit activity connected to the purchase and/or use of the Voucher.

19.3 In the event that the Supplier subsequently decides to offer the same Service for sale at a reduced price, no difference will be recognized to the User on the amount previously paid.

19.4 Unfair clause - Explicit signature pursuant to art. 1341 c.c.

ART. 20 — Use of images, audio and video recordings

The Supplier may take photographs or video recordings directly or by making use of third parties who operate in the interest and on behalf of the Supplier, who will acquire all derivative and consequent rights on the material collected.

20.2 To this end, the Buyer authorizes the Supplier to use and disseminate its images for the aforementioned informative, promotional and dissemination purposes, through dissemination on its social channels Instagram, Facebook and YouTube and with any method or form of publication, including via electronic media, technological media, blogs, digital and/or paper magazines, monographic and/or non-monographic, books, even with the transfer of the related right to third parties and for any lawful reason, including commercial.

20.3 The Buyer acknowledges and accepts that these shots cannot be subject to any limitations in time or place, without prejudice to the Supplier's obligation to use them in compliance with the personal and professional decorum of the data subject and commercial customs and practices. The authorization does not result in any compensation or other economic recognition for the data subject; by adhering to these conditions the Buyer does not acquire any rights to the contents, and all rights not expressly granted are reserved.

20.4 The Buyer acknowledges and accepts that the granting of consent to processing is optional, leaving its relationships and contractual rights with the Supplier unchanged in the event of lack of consent. Consent to processing can be revoked at any time with ex nunc effect.

The changes will be effective for the purposes of the law, without the need for specific and further approval, after 10 (ten) days from their publication.

21.3 Non-retroactivity. The changes will affect the relationship with the Customer only for the future and will not have a retroactive effect on orders already confirmed.

21.4 Acceptance. Continued use of the Services after the date of entry into force of the changes constitutes tacit acceptance of the same by the Customer. If Customer does not wish to accept the changes, Customer must cease use of the Service. Failure to accept the updated conditions could give each party the right to withdraw from the Contract.
